JLA Advogados e Consultores advises EDF and ITOCHU consortium on the closing of Timor-Leste's largest solar project

JLA Advogados e Consultores advised the consortium formed by EDF power solutions and ITOCHU Corporation on the closing of the Manatuto solar power project, one of the most significant energy infrastructure investments ever undertaken in Timor-Leste.

The project, which represents the country's first large-scale independent renewable energy project (IPP), involves the construction of a 72 MW solar photovoltaic power plant, complemented by a 36 MW / 36 MWh battery energy storage system. Under a Power Purchase Agreement (PPA) with Electricidade de Timor-Leste (EDTL), the facility will be developed and operated by the EDF and ITOCHU consortium for a period of 25 years.

The start of construction was marked by a groundbreaking ceremony presided over by the Prime Minister of Timor-Leste, Kay Rala Xanana Gusmão. Once operational in 2028, the plant is expected to meet approximately 30% of the country's electricity demand, helping to reduce its dependence on imported fossil fuels and generating estimated annual fuel cost savings of between USD 25 million and USD 30 million.

Timor-Leste approves new Corporate Recovery and Insolvency Code

Law No. 9/2025, of 22 December, approved the Corporate Recovery and Insolvency Code (CREI), establishing, for the first time, a structured insolvency and corporate recovery framework in Timor-Leste, aligned with international standards. The CREI applies to both legal entities and individuals owning companies and establishes a dual system based on either company recovery or asset liquidation, with the aim of satisfying creditors while prioritising business continuity whenever possible. The new regime emphasises recovery, simplification and reduced court intervention, creates the Recovery and Insolvency Office (BRI), and introduces mechanisms such as the Reorganisation and Insolvency Proceedings (PRI), creditor negotiation procedures and a cross-border insolvency regime. The CREI will enter into force 180 days after publication, subject to the approval of supplementary legislation.
